Effective date: August 11, 2026

1. Agreement

These terms apply to the List Creator for SharePoint software made available by Ackerman Technologies. By installing or using the software, the customer and its authorized users agree to these terms.

2. License

Subject to these terms and any applicable Microsoft Marketplace terms, Ackerman Technologies grants the customer a limited, non-exclusive, non-transferable license to install and use List Creator within the customer's Microsoft 365 environment for its intended business purpose.

3. Authorized use

Users may use the software only in environments where they are authorized to do so and only with permissions granted through Microsoft 365 and SharePoint. Users are responsible for reviewing list names, columns, configurations, and target locations before creating resources.

4. Restrictions

Except where applicable law permits otherwise, users may not misuse the software, attempt to circumvent security or authorization controls, use it to access resources without permission, or represent the software as their own product.

5. Customer environment and data

The customer remains responsible for its Microsoft 365 tenant, SharePoint configuration, permissions, data governance, backup, retention, and compliance obligations. The software is not a substitute for administrative review or organizational governance.

6. Third-party and Microsoft services

List Creator depends on Microsoft 365 and SharePoint services. Microsoft services are governed by the customer's agreements with Microsoft. Ackerman Technologies does not control the availability or behavior of third-party services.

7. Updates

Ackerman Technologies may update the software to improve functionality, compatibility, security, or compliance. Customers should review release information before deploying updates to production environments.

8. Warranty disclaimer

To the maximum extent permitted by applicable law, the software is provided "as is" and "as available." Ackerman Technologies disclaims warranties that are not expressly provided in writing, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of liability

To the maximum extent permitted by applicable law, Ackerman Technologies will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, revenue, profits, or business opportunity arising from use of the software.

10. Termination

The license may be terminated if these terms are materially violated. Upon termination, the customer should stop using and uninstall the software where required.

11. Applicable Marketplace terms

Distribution through Microsoft Marketplace may also be subject to Microsoft's marketplace agreements, policies, and customer terms. If a mandatory Microsoft Marketplace term conflicts with these terms, the mandatory Marketplace term controls to the extent of the conflict.
